Terms of Service

Effective 3 November 2026

1. Who we are

Orrivelo is provided by Orrivelo [to be completed before launch], of [to be completed before launch] ("we", "us"). You can contact us at orrivelo@outlook.com.

These terms form the agreement between us and the business that creates an Orrivelo workspace ("you"). By creating an account or using Orrivelo, you accept these terms on behalf of that business and confirm you have authority to do so.

2. Business use only

Orrivelo is for businesses, sole traders and other organisations, used for their trade or profession. It is not offered to consumers. You must be at least 18 years old to create an account.

3. What Orrivelo does

Orrivelo helps you keep track of unpaid invoices and send polite payment reminders to your customers. It drafts reminders from the invoice details you provide, optionally with the help of AI, and sends them only after a person in your team approves them.

Orrivelo is a software tool. In particular, we:

  • are not a debt collection agency and do not collect, hold or handle money for you;
  • do not give legal, financial or tax advice;
  • never mark an invoice as paid because of a customer's reply. Only you record payments;
  • never send legal threats automatically.

4. Your account and your team

  • Keep your login details secure. You're responsible for everything done through your workspace, including by team members you invite.
  • The workspace owner controls who has access and what role each person has. Remove people promptly when they no longer need access.
  • Tell us straight away at orrivelo@outlook.com if you think your account has been accessed without permission.

5. Free trial

New workspaces get a 14-day free trial. No card is needed and you won't be charged automatically when it ends. After the trial, you'll need a paid plan to keep importing invoices and sending reminders; you can still view, export and delete your data.

6. Plans, payment and price changes

  • Paid plans are billed monthly in advance through our payment provider, Stripe, and renew automatically each month until cancelled.
  • Prices are shown in pounds sterling and exclude VAT, which is added where it applies.
  • Each plan has limits (for example unpaid invoices, reminders per month and team seats), shown on the pricing and billing pages.
  • If a payment fails, Stripe will retry. If it still can't be collected, we may pause sending until it's resolved.
  • We may change our prices with at least 30 days' notice by email. The new price applies from your next billing date after the notice period. You can cancel before then if you don't wish to continue.

7. Cancelling

You can cancel at any time in Settings → Billing. See our Cancellation and refund policy for what happens when you cancel.

8. Your responsibilities

You agree that you will:

  • only use Orrivelo to remind customers about genuine amounts they owe you;
  • make sure the invoice and customer details you add are accurate and that you're entitled to use them, including your customers' contact details;
  • review every reminder before approving it. You are responsible for what you send and for complying with the laws and guidance that apply to your business and your communications with customers;
  • respect customers who ask you to stop contacting them, raise a dispute or tell you they're in difficulty, and handle these personally;
  • not use Orrivelo to harass anyone, send spam or marketing, threaten, mislead, or send anything unlawful or abusive;
  • not try to break, overload, reverse-engineer or get around the security or limits of Orrivelo, or access another business's data;
  • not upload malicious files, or data you have no right to share.

9. AI-written drafts

If AI drafts are switched on, reminder drafts may be written with the help of an AI model provided by Anthropic. Drafts are written only from your invoice details and checked automatically for things like threats, fees and wrong amounts, but they can still contain mistakes. Always read a draft before approving it. Nothing is sent without approval.

10. Your data

  • You own the data you put into Orrivelo. You give us permission to use it only to provide, secure and support the service for you.
  • When your data includes personal data about your customers, you are the controller and we act as your processor under our Data Processing Addendum, which forms part of these terms.
  • You can export your data at any time (Settings → Your data) and delete your workspace, which permanently removes its data. See our Privacy Policy for how we handle personal data.

11. Availability and changes to the service

We work hard to keep Orrivelo available and secure, but we can't promise it will always be uninterrupted or error-free. We may need to carry out maintenance, and we may improve or change features over time. If we remove a feature you rely on in a significant way, we'll give you reasonable notice. Support is provided by email.

12. Liability

  • Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that can't be limited by law.
  • Subject to that, we are not liable for any loss of profits, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss, or for the outcome of your reminders (including whether or when customers pay).
  • Subject to that, our total liability to you in any 12-month period is limited to the fees you paid us in that period.
  • Except as set out in these terms, Orrivelo is provided "as is", and we exclude all other warranties and conditions to the extent the law allows.

13. Suspension and ending this agreement

  • You can stop using Orrivelo at any time by cancelling and, if you wish, deleting your workspace.
  • We may suspend or close a workspace if these terms are seriously or repeatedly broken, if required by law, or to protect Orrivelo, its users or other people. Where it's reasonable, we'll warn you first and give you a chance to export your data.
  • We may stop offering Orrivelo with at least 60 days' notice, and will refund any fees paid for the period after it stops.

14. Changes to these terms

We may update these terms. For significant changes we'll email the workspace owner at least 30 days before they take effect. If you continue to use Orrivelo after that, the new terms apply; if you don't agree, you can cancel.

15. General

  • These terms are the entire agreement between us about Orrivelo.
  • If any part of these terms is found unenforceable, the rest still applies.
  • Neither of us may transfer this agreement without the other's consent, except that we may transfer it to a successor business that takes over Orrivelo.
  • These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
